TERMS & CONDITIONS

STANDARD CONDITIONS OF SALE

These Terms & Conditions govern all sales, quotations, supply of goods and services provided by Sinerji Yuksek LLC (“Seller”) to any individual, company, contractor, distributor, or entity purchasing goods or services (“Buyer”).

By placing an order with Sinerji Yuksek LLC, the Buyer agrees to these Terms & Conditions.


1. BASIS OF CONTRACT

1.1 These Conditions apply to all quotations, sales, and supplies of goods including Personal Protective Equipment (PPE), safety equipment, and related services (“Goods”).

1.2 No variation to these Conditions shall be binding unless agreed in writing by the Seller.

1.3 Any purchase order placed by the Buyer constitutes an offer to purchase Goods subject to these Conditions.


2. QUOTATIONS

2.1 All quotations are provided for information purposes only and are valid for 7 days unless otherwise stated in writing.

2.2 A quotation becomes binding only upon written acceptance by the Seller.

2.3 Prices quoted are subject to availability and stock confirmation at the time of order acceptance.


3. PRICING & PAYMENT TERMS

3.1 All prices are quoted in United Arab Emirates Dirhams (AED) unless otherwise stated.

3.2 Prices exclude VAT unless specified. Applicable VAT will be charged in accordance with UAE Federal Tax Authority regulations.

3.3 Payment terms:

  • Advance payment prior to dispatch unless otherwise agreed in writing.

  • Approved account customers may receive agreed credit terms.

3.4 Time of payment is of the essence.

3.5 If payment is not received by the due date, the Seller reserves the right to:

  • Suspend delivery;

  • Cancel the order;

  • Charge interest on overdue amounts at a commercially reasonable rate permitted under UAE law;

  • Recover all collection costs incurred.


4. DELIVERY

4.1 Delivery dates are estimates only and are not guaranteed.

4.2 The Seller shall not be liable for delays caused by supply chain disruption, customs clearance, transport issues, or events beyond its reasonable control.

4.3 Risk in the Goods passes to the Buyer upon delivery.

4.4 Claims for damage or short delivery must be reported in writing within 48 hours of receipt.

4.5 Delivery includes transportation to ground-level access point unless otherwise agreed.

4.6 Installation, commissioning, training, or specialized equipment handling (including lifting gear) are not included unless specifically agreed in writing.


5. CUSTOMER DEFAULT

The Seller may suspend or terminate supply if:

  • The Buyer fails to make payment when due;

  • The Buyer breaches any contractual term;

  • The Buyer becomes insolvent or enters liquidation;

  • The Buyer ceases business operations.

Such action shall not prejudice any other legal rights available to the Seller.


6. LIABILITY

6.1 The Seller shall not be liable for defects arising from:

  • Buyer-provided specifications;

  • Improper storage or handling;

  • Misuse, modification, or abnormal working conditions;

  • Failure to follow manufacturer instructions;

  • Normal wear and tear.

6.2 Where a valid defect claim is accepted, the Seller may, at its discretion:

  • Replace the Goods;

  • Repair the Goods;

  • Issue a credit or refund.

6.3 Except in cases of proven negligence causing death or personal injury, the Seller shall not be liable for indirect, incidental, or consequential losses including but not limited to:

  • Loss of profit;

  • Loss of contracts;

  • Operational downtime;

  • Business interruption.


7. PRODUCT DESCRIPTIONS & SPECIFICATIONS

7.1 All product descriptions, catalogues, website content, and marketing materials are provided for general guidance only.

7.2 Specifications are subject to change without notice.

7.3 Performance data provided by manufacturers is based on ideal operating conditions and may vary depending on usage and environmental factors.

7.4 The Seller shall not be responsible for typographical errors or omissions.


8. RISK & RETENTION OF TITLE

8.1 Risk passes to the Buyer upon delivery.

8.2 Ownership of Goods shall not pass to the Buyer until full payment has been received.

8.3 Until ownership passes, the Buyer shall:

  • Store Goods separately;

  • Maintain them in good condition;

  • Not pledge or encumber them as security.


9. FORCE MAJEURE

The Seller shall not be liable for failure or delay in performance caused by circumstances beyond its reasonable control including but not limited to:

  • Acts of God;

  • Government restrictions;

  • War;

  • Civil unrest;

  • Supply chain disruption;

  • Transport delays;

  • Pandemic or public health emergency.


10. RETURNS (BUSINESS TO BUSINESS)

10.1 Goods may only be returned with prior written approval.

10.2 Approved returns must:

  • Be unused;

  • Be in original packaging;

  • Be in resaleable condition;

  • Be returned within 14 days unless otherwise agreed.

10.3 Custom-made, special-order, bulk-discounted, hygiene, medical, or perishable items are non-returnable.

10.4 Return transportation costs are the Buyer’s responsibility unless Goods are proven defective.


11. WARRANTY

11.1 All products are supplied with the standard manufacturer’s warranty where applicable.

11.2 Warranty claims are subject to manufacturer inspection and approval.

11.3 The warranty does not cover damage resulting from misuse, improper installation, modification, or failure to follow manufacturer guidance.


12. DEAD ON ARRIVAL (DOA)

Goods claimed to be defective upon delivery must be reported within 24 hours in writing, with photographic evidence and original packaging retained for inspection.


13. FREE GOODS & PROMOTIONS

Promotional items are subject to availability. The Seller reserves the right to substitute promotional items of equivalent value.

If Goods purchased as part of a bundle are returned, all bundled items must also be returned for full refund consideration.


14. WEBSITE USE, COOKIES & DATA

Use of this website constitutes acceptance of:

  • Our Privacy Policy

  • Our Cookie Policy

  • Applicable UAE Data Protection regulations

Personal data is processed in accordance with UAE Federal Decree-Law No. 45 of 2021 on Personal Data Protection.


15. PPE DISCLAIMER

Sinerji Yuksek LLC acts as a supplier and distributor of industrial safety equipment.

Product specifications, certifications, and compliance information are provided by manufacturers and third-party suppliers. While reasonable care is taken in presenting this information, Sinerji Yuksek LLC does not independently certify or authenticate manufacturer claims.

Unless explicitly stated, products supplied are not certified as medical devices.

No PPE product can guarantee complete protection when used improperly or without appropriate risk assessment, training, and safety protocols.

It remains the responsibility of the Buyer to ensure products are suitable for their intended application and comply with workplace safety regulations.


16. GOVERNING LAW

These Terms & Conditions shall be governed by and interpreted in accordance with the laws of the United Arab Emirates.

Any dispute shall be subject to the jurisdiction of the competent courts of the UAE.
